Terms of use

Welcome to JBmarket.jp website (the "Site"). Through the Site, JBmarket.jp Corporation makes available various products and services subject to the terms and conditions set forth in this agreement (the "Agreement"). This Agreement is entered into between you as the user of the Site (the "User") and JBmarket.jp Corporation ("JBmarket.jp"). ACCESSING, BROWSING OR OTHERWISE USING THE SITE FOR WHATEVER PURPOSE INDICATES YOUR AGREEMENT TO ALL THE TERMS AND CONDITIONS IN THIS AGREEMENT. If you do not accept all of the Terms of Use Agreement, please do not use this Site. Please read the terms and conditions of this Agreement carefully.

Use of the Site

Based on the terms and conditions of this Agreement, you may access or use the Site free of charge by only displaying it on your internet browser. However, JBmarket.jp reserves the right to restrict, deny, or create different access to the site and its features. JBmarket.jp also reserves the right to make changes to the features, products and services of the site, or to introduce new features, products or services without any notice.

JBmarket.jp reserves the right to terminate your access to the Site or use of the Site at the sole discretion of JBmarket.jp, if you do not or fail to comply with the terms of use, or if you are directly or indirectly harmful to other Users, JBmarket.jp, or other third parties, or act in violation of local or international laws or regulations. JBmarket.jp reserves the right to refuse user registration and to deny Users' access to the Site in order to protect the interests of JBmarket.jp. The termination, the refuse or the denial may be done without any advanced notice.

Buyer Membership

Before registration for buyer's membership, a User must read and accept the Agreement. After completing registration, the User is considered as a "Buyer member" who represents of the legal entity the User belongs to. Application for registration shall be carried out by only the personnel who uses the service. JBmarket.jp shall judge the registration of the buyer membership according to the examination criteria of JBmarket.jp and notify the applicant, and the registration as a buyer member is completed by this notice. The examination criteria shall be set and changed by JBmarket.jp and are not obligated to disclose the contents of the criteria and/or the reason of refusal.

JBmarket.jp may refuse to register in the following conditions:
- if there is any risk of violating these terms
- If there is a false, clerical mistake, or leak in all or part of the information in the registration form
- If JBmarket.jp cannot confirm the existence of the legal entity which the User belongs to
- in the other cases where the company deems inappropriate

If you registered to JBmarket.jp on behalf of a business entity or company,  you represent and warrant that you have the authority to bind such entity or company to the Agreement, and the address you registered is the primary location for such business entity.

Fees

The use of the services by buyer members is free of charge.
JBmarket.jp at its sole discretion may add, remove or modify some or all of the content of the site or its features, or change the applicable fee for use of the Site at any time.

Buyer's information

Buyer member can edit, update, or change personally identifiable information at any time by using the tools provided by the site. All information provided by Users become the exclusive property of JBmarket.jp.

Buyer's identities and passwords

Buyer member shall manage their identities and passwords at their own risk and periodically change their passwords.
Buyer member shall not make use of IDs and passwords to third parties, rent, transfer, or sell. 
BUYER MEMBER WILL BE SOLELY RESPONSIBLE FOR ALL ACCESS TO AND USE OF THIS SITE BY ANYONE USING THE PASSWORD AND IDENTIFICATION ORIGINALLY ASSIGNED TO BUYER MEMBER WHETHER OR NOT SUCH ACCESS TO AND USE OF THIS SITE IS ACTUALLY AUTHORIZED BY BUYER MEMBER, INCLUDING WITHOUT LIMITATION, ALL COMMUNICATIONS AND TRANSMISSIONS AND ALL OBLIGATIONS (INCLUDING WITHOUT LIMITATION FINANCIAL OBLIGATIONS) INCURRED THROUGH SUCH ACCESS OR USE.

Ownership and intellectual property rights

JBmarket.jp respects the intellectual property of others. 
The ownership and intellectual property rights of the buyers member created and registered on this Site belong to buyers members. The ownership and intellectual property rights relating to trademarks, designs, and functions of this Site belong to JBmarket.jp. The license to use the service does not imply the license of the intellectual property rights belonging to JBmarket.jp.
Any intellectual property rights posted on this Site, portrait rights, privacy, honor, or other rights shall be attributable to the rights holder, and Users must not infringe or conduct any acts that may infringe or violate those rights. Users shall accept the consent of the rights holders prior to posting any intellectual properties belonging to others on this Site.

Responsibility of the user

The User shall comply with these Terms and do not perform the following acts.
- Acts that interfere or may interfere with the operation of the service.
- Acts that slander or defame JBmarket.jp, Supplier members, Buyer members, or other parties, and injure their honor.
- Acts that transmit or write harmful computer programs, or the equivalent of unauthorized access to, leakage, alteration or destruction of this Site.
- The act of registering and disseminating false content when using this Site.
- Acts that infringe or may infringe upon the property, rights, interests, privacy, or intellectual property rights of JBmarket.jp, Supplier members, Buyer members, or third parties.
- Acts that violate public and morals.
- Any other acts JBmarket.jp deems inappropriate.

If the acts of the contents listed above are found, JBmarket.jp shall be able to delete the information on this website without the consent of the User or the person who posted the information, and JBmarket.jp shall be able to suspend and revoke the membership of the User.
JBmarket.jp assumes no liability whatsoever for any damages arising out of the suspension and the cancellation of the membership.

The information of Buyer members and Supplier members

JBmarket.jp shall be kept confidential and shall not be provided to a third party except in the following cases.
- To provide personal contact information in the transfer of messages between supplier and buyer members.
- When you have your consent
- When required by law

Notification of service information from JBmarket.jp

JBmarket.jp will send the service guide to the supplier or buyer members to the e-mail address provided or registered by the User.
Service information includes the start of new services, change or abolition of the existing services, change of the terms of use, and change the privacy policy.
The notification to the supplier or buyer member shall be deemed to be reached by sending the notice to the e-mail address last updated by the user at the time.

Disclaimer

JBmarket.jp shall not accept compensation, liability or other obligations for products and services handled by the supplier members.
In addition, JBmarket.jp assumes no liability whatsoever for any damages or disputes arising from these results.
JBmarket.jp assumes no liability whatsoever for any damages or disputes arising from the default, defects, or other transactions relating to transactions held between supplier members and buyer members through this Site.
JBmarket.jp will take measures to prevent unauthorized access, leakage, alteration, and destruction of personal information by third parties. However, it is not possible to completely disinfect the harmful computer programs, etc. by third parties, to completely prevent unauthorized access from third parties, and to guarantee any other technical safety.

Change of the service

JBmarket.jp may add or change the contents of this service without any prior notice.
As a result, JBmarket.jp assumes no liability whatsoever if any damages arise from the supplier and buyer members. However, if a supplier member or buyer member discovers a defect due to the addition or modification of the service and contacts our Customer Support Team, JBmarket.jp will strive to correct the defect promptly in a manner that JBmarket.jp deems appropriate.

Suspend or discontinue the Site

JBmarket.jp may suspend the service provision of this Site due to maintenance, renewal and inspection of equipment, equipment and software for the provision of services, and due to disasters and failures.
JBmarket.jp shall not be liable for any damages arising from these results.

Exclusion of Anti Social Forces

"Anti Social Forces" means:
- an organized crime group, a member of an organized crime group, a related company or association of an organized crime group, and any other equivalent person of above; or
- a person who themselves or through the use of third parties conducts a demand with violence, an unreasonable demand beyond its legal entitlement, use of intimidating words or actions, damages the credit or obstructs the business of the other party by spreading false rumors or by the use of fraudulent, or any other equivalent actions of above.

A User represents and warrants that is not a person who has fallen and shall not fall under any of the followings:
- the Anti Social Forces;
- a person having such relationship with the Anti Social Forces that shows the Anti Social Forces' substantial involvement in the person's management;
- a person having such relationship with the Anti Social Forces that shows reliance on the Anti Social Forces;
- a person who cooperate and is not involved with the maintenance or operation of any Anti social Forces by providing funding to any Anti Social Forces or any similar act; or
- a person who is engaged in socially condemnable relationship with the Anti Social Forces.

JBmarket.jp shall be able to suspend and revoke the membership of the User and request for the damages without any notice. JBmarket.jp assumes no liability whatsoever for any damages arising out of this information suspension, suspension of use, and cancellation of membership qualification.

Revisions to this agreement

JBmarket.jp shall be able to revise these terms and conditions arbitrarily. Revisions to this Agreement shall be effective when posted on this Site. After the amendment to this agreement, the user, including the supplier member or buyer member, agrees to use the service in the case of the revised terms and conditions.

Privacy policy

JBmarket.jp respects your privacy. Please refer to our Privacy policy.

Governing law

This Agreement and your use of the website shall be governed by, and construed in accordance with the laws of Japan, without regard to the conflicts of law rules thereof. Each party irrevocably agrees to be bound by any judgment rendered thereby in connection with this Agreement.
